TECHSTRIDE S.A. de C.V. ("Striq"), a company incorporated in Mexico, with its registered domicile as stated in the Striq Privacy Notice and notices address contact@striq.net.
These Merchant SaaS Terms form an agreement between TECHSTRIDE S.A. de C.V. and the business or person accepting them (the “Merchant”). By clicking acceptance during restaurant setup or a billing action, or by using a paid or trial service after that acceptance, you confirm that you have authority to bind the Merchant and accept these Terms.
Striq provides software for restaurant menus, table and pickup ordering workflows, staff operations, receipts, analytics, and related tools. Striq is a software provider; the Merchant remains responsible for its restaurant, food, menus, prices, taxes shown to customers, staff, customer communications, fulfillment, refunds, and legal compliance. Striq does not currently process guest food payments through Striq.
A Merchant that is eligible under the applicable offer may receive one 30-day trial. Eligibility, included features, and trial availability are shown at signup or checkout and may depend on account history. Plans have objective limits and features displayed in the service or checkout. Fair-use rules apply to protect platform availability; a plan is not a license to evade limits or create accounts to obtain repeated trials.
After a trial or when a charge is otherwise due, the selected plan renews on a recurring monthly or yearly basis at the amount and currency displayed at checkout, unless the service states otherwise. You authorize the selected payment provider to charge the payment method for recurring charges. Taxes are charged as displayed or as required by applicable law; these Terms do not decide whether a displayed amount is IVA-inclusive or plus IVA. Automated CFDI delivery is not currently available. Contact us to request applicable fiscal documentation and provide the fiscal data required for issuance. You may cancel through the available billing controls or by contacting us. Cancellation generally takes effect at the end of the current paid period, and any refund is subject to the checkout terms, these Terms, and applicable law.
You must use the service within objective plan limits and in a way that does not unreasonably burden the service. You must not:
The Merchant keeps its rights in menu, restaurant, team, and other content it submits. It grants Striq the limited rights needed to host, display, transmit, back up, secure, and otherwise provide the service. The Merchant must have rights and lawful grounds for its content and instructions, keep account credentials secure, and ensure that menus, allergen statements, preparation information, prices, availability, taxes, pickup instructions, fulfillment, refunds, and guest communications are accurate and safe.
Striq, including the Striq platform, applications, websites, databases, interfaces, designs, documentation, trademarks, and every improvement to them, is and remains the exclusive property of TECHSTRIDE and its licensors. These Terms sell nothing and transfer no ownership. Subject to these Terms and to payment of the applicable fees, TECHSTRIDE grants the Merchant a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the service for the Merchant’s own internal restaurant operations, only while the Merchant’s subscription or eligible trial is active.
Access is tiered. Not every feature, limit, integration, or module is included in every plan, and a plan grants rights only to the features and limits displayed for that plan. Features may be added, changed, packaged differently, or moved between plans on a prospective basis. Nothing in these Terms entitles the Merchant to a feature that is not included in its plan, or to continued access to a feature after the plan, trial, or subscription that included it ends.
The right to use the service ends immediately when the subscription or trial ends, expires, or is suspended or terminated. All rights not expressly granted are reserved to TECHSTRIDE. The Merchant must not remove or obscure Striq marks or notices, and gains no right in the Striq name, logo, or brand beyond factual reference to its use of the service. If the Merchant sends suggestions or feedback, TECHSTRIDE may use them freely to improve the service without obligation or compensation.
The service includes a Striq desktop application that a Merchant may install on restaurant workstations for kitchen and printing operations. That application is licensed, not sold, under the Striq Desktop Software Licence, which is incorporated into these Terms by reference and applies to the Merchant and to anyone the Merchant allows to use an installed workstation. Installing or using the application means accepting that licence. If the Desktop Software Licence conflicts with these Terms about the installed application, the Desktop Software Licence controls for that subject.
The Privacy Notice describes Striq’s information practices. Where Striq processes personal data for the Merchant, the Data Processing Addendum is incorporated into these Terms. If there is a conflict about processing of Merchant-controlled personal data, the DPA controls for that subject.
We may suspend or limit access when reasonably needed for security, legal compliance, non-payment, abuse, or a material risk to the service. Where appropriate, we will give notice and a reasonable opportunity to cure before suspension or termination. We may act without advance notice when necessary to prevent harm, comply with law, or address an urgent security or abuse risk. Either party may terminate for a material breach that remains uncured after reasonable notice, or as otherwise allowed by the plan or applicable law.
To the maximum extent permitted by law, the service is provided on an “as available” and “as is” basis, and we disclaim warranties not expressly stated in these Terms. We do not guarantee uninterrupted operation, error-free output, restaurant sales, guest attendance, or a particular business result. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Striq’s aggregate liability for claims arising from the service will not exceed the fees paid or payable by the Merchant for the three months before the event giving rise to the claim. Nothing limits liability that cannot lawfully be limited.
The Merchant will defend, indemnify, and hold harmless TECHSTRIDE, its affiliates, and their officers, employees, and contractors from and against any third-party claim, demand, proceeding, or investigation, and any resulting loss, damage, penalty, settlement, or reasonable legal cost, to the extent it arises from:
We will notify the Merchant of a claim covered by this section without undue delay, let the Merchant control the defence with counsel reasonably acceptable to us, and cooperate at the Merchant’s expense. A settlement that imposes an obligation or admission on TECHSTRIDE, or that does not fully release it, requires our prior written consent. We may participate with our own counsel at our own cost. A delay in notice reduces the Merchant’s obligation only to the extent the delay actually prejudices the defence. This section survives termination and is not limited by the liability cap in these Terms.
We may update these Terms prospectively for service, legal, security, or operational changes. We will preserve a versioned copy, publish the new version and effective date, and send notice to the account email for a material change. If a material change requires renewed acceptance, the service will ask an authorized account owner to accept it. Other changes apply prospectively from the stated effective date. If you do not agree to a material change, you may stop using the service and cancel before it takes effect. Notices are sent to the account email on file, so the Merchant must keep it current.
The following apply to the whole agreement:
These Terms are governed by the laws of Mexico. The parties submit to the competent courts of Nuevo León, Mexico, without prejudice to mandatory consumer or other protections that cannot be waived. Questions can be sent to contact@striq.net.
